Privacy Policy

Thank you for becoming a member of the Nearlist Community! This Privacy Policy includes important information about your personal and business data and we encourage you to read it carefully.

Nearlist provides interactive services (the “Services”) designed to connect individual customers (“Customers”) with local businesses that are registered to use the platform (each a “Business”).

The Services include:

(a) Customer Services – available through the Nearlist App and customer website, allow Customers to explore shopping districts and marketplaces through Shop Pages; discover and connect with Businesses; receive content in personalized feeds; engage with posted Campaigns; browse, clip, and redeem Coupons; view Location Profiles; access Messaging Channels for business support and shopping communities; and build personal directories of favorite places. Customer Services are governed separately by the Nearlist Customer Terms of Service.

(b) Business Services – available through the Business App and business website, allow Businesses and their assigned Business Users to create, publish, and manage Campaigns and Coupons; manage Location Profiles for business locations; operate Shop Pages; access Messaging Channels for teams, customers, associations, and shopping communities; enable Customers to connect and receive their content in feeds; and build directories to facilitate Customer interactions. Business Services are governed separately by the Nearlist Business Terms of Service.

Businesses may include both individual merchants (“Merchants”) and small business groups (“Associations”). Both types of businesses can use the Business Services to manage core features, including Business Locations, Campaigns, Coupons, and Messaging. Associations have expanded capabilities, such as sponsoring Shop Pages that highlight and promote their shopping districts and marketplaces.



1. Services and Definitions

This Privacy Policy (“Policy”) describes how and when Nearlist collects, uses and shares your information when you become a member of the Nearlist Community or otherwise interact with our Business Services.


1.1 Business Services

Nearlist receives your information through the following components (collectively, the “Business Services”):

(a) Site. Our business website at https://business.nearlist.com, including its authenticated portal for account management (the “Business Center”).

(b) App. Our corresponding “Business” mobile application for businesses.

(c) Link Service. Our short link service available at https://nearli.st that links to this Policy.

This Privacy Policy applies only to information you provide to us through the Site, App, and Link Service.


1.2 Definitions

In these terms:

(a) “Nearlist,” “our,” “us,” or “we,” refer to Nearlist, Inc.

(b) “you,” “your,” “user,” or “member,” refers to persons registered to use the Business Services.

(c) “Nearlist Community,” refers to all registered Customers (meaning individual end users of the Customer Services) and all registered Businesses (meaning individual end users of the Business Services).

(d) “Merchants,” refer to individual storefront businesses or other vendors (including stalls at flea or farmers markets, food trucks, or similar mobile sellers) registered to use the Business Services.

(e) “Associations,” refer to small business groups (including Merchant Groups, Business Improvement Districts, or Market Associations) registered to use the Business Services.

(f) “Subscription Plans,” refer to Free or Paid subscription plans that provide access to specific current or planned features, usage limits, or account management options.

(g) “Nearlist Marks,” refer collectively to the Nearlist logo, the Nearlist for Business logo, and any other brand assets owned by Nearlist, Inc.

(h) “Business Users,” refers to individuals authorized to access a Business Account through assigned roles, including Administrators and Employees.

Terms not defined herein shall have the meaning as provided in Nearlist’s Terms of Service, found at https://business.nearlist.com/legal/terms, and incorporated herein.

2. Changes 

We may change the Business Services or any features of the Business Services at any time. We may change this Policy by posting a revised Policy on the Site at https://business.nearlist.com/legal/terms and in the App.

When material changes are made to our Privacy Policy or Terms, you will be prompted to review and accept the updated documents when you next launch the Business App or log in to the Business Center. You may not continue using the Business Services until you agree to the updated Privacy Policy or Terms. The updated Privacy Policy is effective once accepted and applies to any continued or new use of the Business Services.

4. Information We Collect

We collect, use, and disclose personally identifiable information (“Personal Information”) and public details about your business (“Business Information”) in various ways when you use the Business Services. We may collect the specified types of Personal and Business Information from you in the following contexts:

(a) Registration: When you register to use the Business Services we may collect your name, title/function, email, password, profile photo, and social media account sign in information to establish your account and related Business User Profile information. To allow you to enhance your Business User Profile, or gain access to new features we may collect additional account information such as any professional expertise, educational training or other professional information relevant to your role at your business or organization. In order for you to download the App, you can provide your mobile phone number to us to receive a link to the Nearlist App page in the Apple App Store.  If you choose to provide us with your mobile phone number, you (i) authorize us to send you a one-time SMS text with a link to the App, (ii) agree to be solely responsible for any fees charged by your wireless provider in connection with the SMS text you receive from us; and (iii) agree to contact your wireless provider with any questions regarding your text and/or data plan.

(b) Usage: We may automatically log information about how and when you use the Business Services. This information (“Log Data”) may include your IP address, type of device, wireless carrier, time, date, browser used, non-precise geographic location (e.g. zip code and city), search terms, cookie information and actions taken by you within our Site, App, and Link Service.

(c) Support: When you communicate with our customer support team via our “Contact Us” and “Support” forms and/or corresponding email addresses, we may collect your name, title/function, email, phone number, type of inquiry, and your message content.

(d) Location Profiles: In order for Location Profiles to be configured and published we may collect business information including business name, logo, address, phone number, hours of operation, a business description, a website URL, images that depict the business location and/or products, which team members are assigned to each location, and which Campaigns are scheduled and posted at each location. To allow you to enhance your Location Profile, or gain access to new features we may collect additional business information such as the specific types of products and services offered, or the availability of these products and services. Location Profiles are generally public-facing pages and may be visible to Customers and Businesses, and the public through the Apps, system emails, and on www.nearlist.com.

(e) Customer Connections: Nearlist may collect information on which Customers you send requests to within the App, which Customers send you requests within the App, and which Customers you are connected to on Nearlist. To allow you to enhance your customer Directories, or gain access to new features we may collect additional account information such as how you group or rank your Customers connections.

(f) Campaigns: In order for Campaigns to be scheduled and posted we may collect marketing copy, marketing images, marketing URLs, campaign locations, post dates, removal dates, and the names of Campaign authors and editors. To allow you to enhance your Campaigns, or gain access to new features, we may collect additional business information such as promotional codes or customer segmentation information. If the Business User account of a Campaign author or editor is deleted, that individual will be referenced as a “Former User.” Campaigns are generally public-facing pages and may be visible to Customers and Businesses, and the public through the Apps, system emails, and on www.nearlist.com.

(g) Coupons: In order for Coupons to be published we may collect marketing copy, marketing images, marketing URLs, coupon locations, publish dates, removal dates, and the names of Coupon authors and editors. To allow you to increase the effectiveness of your Coupon strategies, or gain access to new features, we may collect additional business information such as redemption codes or customer segmentation information. If the Business User account of a Coupon author or editor is deleted, that individual will be referenced as a “Former User.” Coupons are generally public-facing pages and may be visible to Customers and Businesses, and the public through the Apps, system emails, and on www.nearlist.com.

(h) Shop Pages: In order for Shop Pages to be configured and published we may collect information about the Association account, its member Businesses, assigned Business Users, and the Campaigns or Coupons published by those members. Shop Pages may also include directories of member Businesses and community Messaging Channels accessible to both Customers and Business Users. Shop Pages are generally public-facing pages and may be visible to Customers and Businesses, and the public through the Apps, system emails, and on www.nearlist.com.

(i) Messaging Channel Content: When a Customer connects with a Location Profile, all Business Users assigned to that Location may exchange in-app messages with that Customer in a private Messaging Channel. Associations may create Shop Page Messaging Channels that include both member Businesses and their Customers, as well as Association-level Messaging Channels for internal coordination. Businesses may also create internal Team Messaging Channels. Nearlist is not responsible for the content of any messages or uploaded files (“Message Content”); however, Nearlist may access Message Content to enforce our policies, ensure safety, or generate aggregate analytics.

(j) Customer Notes: Nearlist provides a tool for Business Users to make notes about Customer connections (“Customer Notes”). These notes constitute a form of user-generated content and are posted by Business Users without review or moderation by Nearlist. Customer Notes are visible to all Business Users assigned to a Location, but may only be edited or deleted by their author or by the Admin. Nearlist is not responsible for the content of any Customer Note; provided, however, that Nearlist reserves the right to access and use Customer Notes for the purpose of identifying general trends and aggregate information.

If a Customer disconnects from all Location Profiles published by a Business, their Customer Notes created by that Business’s assigned Users will be deleted and no longer visible to Business Users. If a Business User is removed from an assigned Location, any Notes they created remain visible to other assigned Business Users at that Location.

(k) Customer Contacts: Nearlist may collect names and/or email addresses of customer “Contacts” provided by registered Business Users to facilitate invitations to connect with your Business location(s) on Nearlist. With your express consent, Nearlist will attempt to send a one-time invitation email to each Customer contact email you provide. Business Users understand and agree to confirm that they have prior consent from each Contact added to their Nearlist Business account for the purposes of sending email invitations, and that they are not providing any of the following to Nearlist: (i) Rented, purchased, third party, or appended email address lists; (ii) Addresses collected using robots, spiders, web crawlers, or other automated means; (iii) User group, transactional, or auto-response email addresses; or (iv) Distribution email lists or role addresses such as “marketing@“.

(l) Location: Nearlist may collect your precise geographic location in order to provide Customers with relevant information related to businesses they are connected to and/or businesses they might be interested in. Before precise location information is collected, you will be asked whether you allow precise location tracking. You may decline to allow this tracking, but if you do so, certain features of the Business Services may not be available to you.

(m) Links: Nearlist may track how you interact with links across our Business Services, including our email notifications, third-party services, and client applications, by redirecting clicks or via other means. We do this to help improve our Service, provide more relevant news and promotions, and to be able to share aggregated statistics such as how many times particular links are clicked. Links provided to the Business Services may be processed and shortened to a http://nearli.st link by Nearlist’s Link Service. Shortened links allow Businesses to share long URLs while maintaining the maximum number of characters in their messages. We may use the nearli.st domain as a way to identify relevant and engaging content within the Nearlist Community, to protect Users from harmful activity, or to provide value to our developer ecosystem.

(n) Widgets: We may personalize our Business Services for you based on your visits to third-party websites that integrate Nearlist features or widgets. A widget is a simple application extension that is part of a larger application already installed on a device. When these websites first load our features or widgets for display, we receive Log Data that includes the web page you visited and a cookie that identifies your browser (“Widget Data”). We may use Widget Data to personalize content for you, such as suggested businesses and other content you may be interested in. Personalized content is stored with only browser cookies or device IDs and is separated from other Widget Data such as page-visit information.

(o) Mapping Services: On the Site and in the App, we use the Google Maps Platform services to provide mapping and location-based features. When you interact with these features, Google may collect information such as your IP address or device location. Your use of Google Maps is subject to the Google Privacy Policy.

(p) Cookies: We may place “cookies” on your computer’s hard drive. A cookie is a small data file that we transfer to your computer or mobile device’s hard disk. We use cookies for two purposes. First, we utilize persistent cookies to save your log in information for future log-ins to the Site and App. Second, we utilize session ID cookies to enable certain features of the Site and App, to better understand how you interact with the Site and App and to monitor aggregate usage by Users and web traffic routing on the Site and App. Unlike persistent cookies, session cookies are deleted from your computer when you log out from the Site, App and Service and then close your browser.

(q) Content Compliance: All content and information provided through the Business Services must comply with our Terms of Service, including the Acceptable Use Policy. Nearlist may remove, restrict, or retain such content consistent with those Terms.

We may also use tracking pixels in our system emails (e.g., digest emails) to measure open rates and engagement.

Third-party services such as web analytics tools and advertisers on the Site and App may also place or read cookies on your browser.

Most web browsers are set to accept cookies by default. If you prefer, you can usually choose to set your browser to remove cookies and to reject cookies. If you choose to remove cookies or reject cookies, this could affect certain features or services of our Site.



5. How We Use the Information We Receive

We may use and disclose Personal and Business Information collected through the Business Services for purposes described in this Policy. For example, we may use your information to:

(a) Provide, improve and develop the Business Services. Your information allows us to continually improve our services, and also develop new innovative features and services.

(b) Communicate with you about our Business Services. For example, we may let you know about new features, version updates, releases, abuse warnings, temporary or permanent changes to our Business Services (e.g. planned outages), and/or changes to our Privacy Policy or Terms of Service.

(c) Communicate with you about your account. This will be for informational, not promotional purposes. For example, we may notify you about changes to your password.

(d) Provide customer support. This will allow our support team to efficiently and effectively communicate with you, as may be appropriate, when you contact us via our “Contact Us” and “Support” forms, and/or corresponding email addresses.

(e) Send you promotional content that you have consented to receiving. You may opt out of receiving promotional emails from us by following the instructions in those emails. If you opt out, we may still send you non-promotional emails, such as emails about your accounts or our ongoing business relations. You may also send requests about your contact preferences and changes to your information including requests to opt-out of sharing your personal data with third parties by emailing support@nearlist.com.

(f) Enable connection invitation emails. You can stop receiving connection invitation emails sent by Nearlist on behalf of registered Customers by following the unsubscribe instructions included in these emails. Each registered Customer is limited to an initial invitation email, followed by up to two reminder emails per business Contact email provided to Nearlist.

(g) Promote usage of our services. For example, if you leave your Personal or Business Information when you visit our Site and don’t sign up for the Business Services, we may send you an email asking whether you want to sign up.

(h) Promote safety and security. Some information may be used to protect the rights and safety of our Members and third parties, as well as our own. To enforce compliance with our Terms of Service. This may include developing tools and algorithms that can help us to prevent violations.

(i) Manage Subscription Plans. We may use account and payment information to manage Free or Paid Subscription Plans, including billing, usage limits, and plan upgrades or downgrades.



6. Personal and Business Information Sharing and Disclosure

Your trust is important to us, which is why we don't share your Personal Information or your Business Information with others unless we have: (i) received your permission; (ii) provided you with notice through this Policy; or (iii) removed your name, business name, or any other personally, or professionally, identifying information from it. We may share your Personal and Business Information as follows:

(a) Nearlist Customers: Nearlist may disclose some aggregate registration, usage, location, connection and other information to Nearlist Customers. The primary purpose of sharing this information is to help Nearlist Customers discover relevant businesses and receive personalized news and promotions, and to help Nearlist improve customer support. For example, Customers may be able to receive personalized lists of recommended businesses or promotions based upon what similar Customers liked.

(b) Nearlist Businesses: Nearlist may disclose some aggregate registration, usage, location, connection and other information to other Nearlist Business Users. The primary purpose of sharing this information is to help Nearlist Business Users improve customer connection activity and campaign performance, and to help Nearlist improve customer support. For example, Business Users may be able to see which kinds of Businesses and Campaigns have the highest levels of activity across different customer segments.

(c) Location Profiles: Business’s Location Profiles include generally public business information including business name, logo, address, phone number hours of operation, business description, and business website. Location Profiles also include information that may or may not currently be publicly available, such as which team members are assigned to your locations, images that depict your business locations, and all past and currently active Campaigns posted to each business location. Both types of information will be visible to the Nearlist Community of registered users, and online via Internet search engines. You will have the option to provide supplemental account information to enhance your Location Profile and/or access new features. Nearlist will indicate what categories of information will be made available only to your Connections, to all Nearlist registered users, and to the public, so you can decide if you want to provide supplemental information. When new Location Profiles are published Connection Requests are automatically sent to nearby users of the Nearlist App according to the zip code associated with their Nearlist accounts

(d) Shop Pages: Shop Pages display public and member Business information (including Location Profiles, Campaigns, and Coupons) to Customers, Businesses, and, in most cases, the general public. Shop Page directories may include business names, locations, and assigned Business Users. Shop Pages may also include community Messaging Channels, which allow both Customer Users and Business Users connected to member Businesses to exchange group messages. While Customer and Business profiles within these community Channels remain tied to their account roles, message content is generally viewable by all participants in the Channel, and read-only views may also be available on public Shop Page web pages.

(e) Business User Profile: Your Business User Profile includes your name, title/function, and profile photo. This information will be visible to all Customers in the Nearlist Community if they search the Nearlist Community using the name you provided for your account. You will have the option to provide supplemental account information to enhance your profile and/or access new features. Nearlist will indicate what categories of information will be made available only to your Connections, to all Nearlist registered users, and to the public, so you can decide if you want to provide supplemental information.

(f) Third Parties: Nearlist does not disclose any of your information with third parties other than as follows: (i) With third party vendors, consultants and other services providers who work for us and need access to your information to do that work; (ii) To provide information to representatives and advisors, like attorneys and accountants, to help us comply with legal, accounting, or security requirements; (iii) To investigate fraud; (iv) To comply with laws or to respond to lawful requests and legal process, including to respond to requests from public and government authorities to meet national security or law enforcement requirements; (v) To protect the rights and property of Nearlist and our agents, customers, members, and others including to enforce our agreements, policies and terms of use; (vi) In an emergency to protect the personal safety of the Nearlist, its customers, or any person; and (vii) In connection with or during negotiation of any merger, financing, acquisition, or dissolution, transaction, or proceeding involving sale, transfer, divestiture, or disclosure of all or a portion of our business or assets to another company.

(g) Your Contacts: Nearlist may access your contact information or address book within your personal or company provided Device with your consent.

(h) Social Media Widgets: Our Site and App, and some related system emails include social media features or widgets that allow you to share content with others. These features may collect information (“Widget Data”) about your IP address and which page you’re visiting on our site, and they may set a cookie to make sure the feature functions properly. Social media features and widgets are either hosted by a third party or hosted directly on our site. Your interactions with those features are governed by the privacy policies of the companies that provide them.

(i) Service Providers: If it is necessary to provide you a service you've requested from our Site or App then we may provide your Personal and Business Information to a service provider as a necessary step in providing you with the requested service. We will restrict any service provider's use of your Personal and Business Information to the terms of this Policy.



7. Anonymous Information 

We may share aggregated anonymous or de-identified information. When we use the term “Anonymous Information”, we are referring to data and information that does not permit you to be identified or identifiable, either alone or when combined with any other information available to a third party.

We may create Anonymous Information from the personal data we receive about you and other individuals whose personal data we collect. Anonymous Information might include analytics information and information collected by us using cookies. We make Personal and Business Information into Anonymous Information by excluding information (such as your name) that makes the data personally identifiable to you.

We use this Anonymous Information to analyze usage patterns in order to make improvements to our Business Services. Additionally, we may provide Anonymous Information to third parties for marketing, advertising, or other uses.



8. Your California Privacy Rights

If you are a California resident, you have the right to request information from us regarding the manner in which Nearlist shares certain categories of personal information with third parties for their direct marketing purposes, in addition to the rights set forth in this Policy or to be informed that Nearlist has a policy in place to prevent such sharing. Nearlist has implemented such a policy and does not share your Personal Information with any third parties for their direct marketing purpose.



9. Accessing, Updating, or Deleting Your Information

Business Users (Administrators and Employees) may review, update, or correct registration information in their accounts at any time through the App or by contacting us at support@nearlist.com.

An Administrator may deactivate the Nearlist for Business account at any time. Once deactivated, all of your public business and Business User account information will no longer be visible on the Apps or www.nearlist.com.

During the initial 30-day deactivation period, the Administrator may log in to restore the Business Account and associated Business User accounts. After Day 30, login access will be blocked. From Day 31 through Day 60, the Administrator may request reactivation through Support. If the Administrator logs in and reactivates the account during the first 30 days, or requests reactivation through Support between Day 31 and Day 60, the deactivation process may be halted and the Business Account and associated Business User accounts restored. After Day 60, the account cannot be restored and will remain locked. Unless reactivation has occurred, the account will be permanently deleted or irreversibly anonymized by Day 90, while retaining certain limited information in anonymized, aggregated, or operational form as necessary for security, fraud prevention, legal compliance, or system integrity.

Administrators may also delete Employee User accounts directly. Employee accounts deleted in this way cannot be restored.

Nearlist may also suspend an individual Business User account (other than the Administrator) for violation of these Terms or for safety, security, fraud prevention, legal compliance, or system integrity reasons. Suspended Business User accounts cannot be accessed during the suspension period and will be permanently deleted or irreversibly anonymized either upon written request of the Administrator or automatically if the suspension remains unresolved for twenty-four (24) months, subject to any extension required under legal hold, investigation, or other lawful obligation.

Nearlist may suspend a Business Account for violation of these Terms or for safety, security, fraud prevention, legal compliance, or system integrity reasons. Suspended accounts cannot be accessed during the suspension period and will be permanently deleted or irreversibly anonymized either at the written request of the Administrator during the suspension period or automatically if the suspension remains unresolved for twenty-four (24) months, subject to any extension required under legal hold, investigation, or other lawful obligation.

Once deletion occurs (whether through Administrator action or following an unresolved suspension), the Business Account and associated Business User accounts will no longer exist in our systems and cannot be reactivated.

Deleting a Nearlist for Business account or Employee User account will not remove information already indexed by third-party search engines such as Google or Bing. Cached or previously distributed content may remain temporarily accessible outside Nearlist’s control.

In addition, content you created or interacted with (such as published Coupons or message threads) may remain visible to other participants as part of their own account records.

Do Not Track: Because the providers of "Do Not Track" and similar signals do not yet operate according to common, industry-accepted standards, we currently do not respond to those signals. For more information on Do Not Track, please visit www.allaboutdnt.com.



10. Safeguarding Your Information

We take reasonable organizational, technical, and administrative steps to help protect personal data against loss, misuse, unauthorized access, or disclosure. Unfortunately, no transmission or storage system can be guaranteed to be completely secure, and transmission of information via the Internet is not completely secure.

We rely on third-party service providers (such as cloud hosting, email delivery, and messaging infrastructure providers) to operate the Business Services. These providers are contractually required to handle your information in accordance with appropriate security and confidentiality obligations.

For payment processing, we use third-party systems that comply with the Payment Card Industry Data Security Standard (PCI-DSS), an industry-wide standard designed to protect the confidentiality and security of your credit card information. Your credit card information will be subject to that processor’s privacy policy in addition to ours.

PLEASE READ THE PRIVACY POLICY ON THE WEBSITE OF ANY PAYMENT PROCESSOR THAT YOU ARE DIRECTED TO REGARDING THE USE, STORAGE AND PROTECTION OF YOUR CREDIT CARD INFORMATION BEFORE SUBMITTING ANY CREDIT CARD INFORMATION.



11. International Transfer

Your information may be transferred to — and maintained on — computers located outside of your state, province, country or other governmental jurisdiction. If you are located outside the United States and choose to provide information to us, please be aware that Nearlist transfers Registration Information to the United States and processes it there.



12. Links to Other Sites

Nearlist Business Services may contain links to other websites. If you choose to click on a banner ad or other type of advertisement, or click on another third-party link, you will be directed to that third party’s website. The fact that we link to a website or present a banner ad or other type of advertisement is not an endorsement, authorization, or representation of our affiliation with that third party, nor is it an endorsement of their privacy or information security policies or practices. We do not exercise control over third-party websites. These other websites may place their own cookies or other files on your computer, collect data or solicit personal information from you. Other sites follow different rules regarding the use or disclosure of the personal information you submit to them and we do not accept any responsibility or liability for their websites, features or policies. We encourage you to read the privacy policies or statements of the other websites you visit.



13. Restrictions of Use of Our Services

Nearlist Services are not directed to children under 13. We do not knowingly collect Personal Information from children under 13. If you believe a child has provided us with information, please contact us using our contact form or send us an email at support@nearlist.com.

Nearlist Services are designed for use in the United States. If you access the Services from outside the United States, you do so at your own risk and are responsible for compliance with applicable local law.
